Private Limited Company Registration in Jaipur

A Private Limited company gives founders limited liability, a separate legal identity and a structure that investors understand. We take you from name selection to incorporation and the first year of compliance.

Requirements at a glance

  • Members and directors – at least two directors and two shareholders (the same persons may be both), and up to 200 members.
  • Resident director – at least one director who has stayed in India for 182 days or more in the previous calendar year.
  • Capital – there is no minimum paid-up capital requirement.
  • Registered office – an address in India, with proof of ownership or a rent agreement and a utility bill.
  • Name – a distinctive name that is not identical or deceptively similar to an existing company or trademark.

Documents required

  • PAN card and Aadhaar of Indian directors and shareholders; passport for foreign nationals, with address and identity proofs as required.
  • Recent photograph, email address and mobile number of each director.
  • Registered-office proof: utility bill not older than two months, and a rent agreement with the owner’s no-objection letter, or an ownership document.

The process

  1. Digital Signature Certificates for the proposed directors.
  2. Name approval on the MCA portal, with a check for conflicts with existing companies and trademarks.
  3. Incorporation filing through the integrated SPICe+ form, with the Memorandum and Articles of Association, which also allows PAN, TAN and other registrations to be obtained together.
  4. Certificate of Incorporation issued by the Registrar of Companies.
  5. Post-incorporation steps – opening the bank account, receipt of share capital, first board meeting, appointment of the first auditor, and commencement-of-business declaration.

Incorporation is commonly completed within about one to two weeks after the documents are in order; the time depends on the Registrar and on any queries raised.

After incorporation

A company must file annual financial statements and an annual return, hold board and general meetings, maintain statutory registers and file the income tax return every year. Directors must also complete their annual KYC. We offer these on an ongoing basis. See ROC annual compliance and accounting and bookkeeping.
