Annual compliance for a company
- Board and general meetings – the annual general meeting is generally to be held within six months of the end of the financial year, and board meetings as required.
- Financial statements (AOC-4) – generally within 30 days of the AGM.
- Annual return (MGT-7 or MGT-7A) – generally within 60 days of the AGM.
- Auditor appointment – appointment and the related filing.
- Director KYC – annual KYC of directors holding a Director Identification Number.
- Other – returns of deposits or loans, half-yearly return on outstanding payments to micro and small suppliers where applicable, and statutory registers.
Annual compliance for an LLP
An LLP files a Statement of Account and Solvency (Form 8) and an Annual Return (Form 11), along with the income tax return. See LLP registration.
Late filing
Late filing attracts additional fees for each day of delay and, in prolonged cases, can lead to disqualification of directors or striking off of the company. If your company has missed filings, we can review the position and bring it up to date.
Frequently asked questions
Is annual filing required even if the company has no business?
Yes. Annual filing is required for every registered company and LLP, including inactive ones, though the statements may be nil. A company that is genuinely inactive can consider the options provided by the law.
